3.11.10 As soon as practicable after service, or deemed service, of the Compulsory Transfer Notice, the parties shall appoint the Valuer to determine the Fair Value of the Seller's shares in the JVC ("Sale Shares") in accordance with Article 1.1.
3.11.11 The Buyer has the right, within 30 days of receiving notification of the Fair Value determined by the Valuer, to serve a notice on the Seller to buy all of the Sale Shares at the Fair Value.
3.12.1 The Parties shall endeavour to agree on the appointment of an independent Valuer and to agree the terms of appointment with the Valuer.
3.12.2 The Valuer shall be requested to determine the Fair Value within 20 Business Days of his appointment and to notify the Parties in writing of his determination.
3.12.3 All matters under this Article shall be conducted, and the Valuer's decision shall be written, in the English language.
